The Best Buy in Corporate America”

 

Compensation for independent Board members has been described as one of the best values in America. As the roles, responsibilities and risks associated with Board service have increased significantly since the passage of Sarbanes-Oxley, so has pay.

From a recently completed review of board pay of the top 1000 companies in the U.S., the findings of pay levels, trends and the impact of the new SEC proxy disclosure rules will be discussed and the following issues addressed:
 
· Setting board pay levels
· Design of the plan
· Share ownership requirements
· Performance-based pay
